PrivyAi Terms of Use (EULA)

Welcome to PrivyAi, an application provided by TechNest Service Ltd. (“we,” “us,” or “our”).
By downloading, installing, or using PrivyAi (the “App”), you agree to be bound by these Terms of Use (“Terms” or “EULA”). If you do not agree to these Terms, do not install or use the App.
1. End User License Grant
We grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use PrivyAi for personal, non-commercial, or internal business purposes on compatible mobile devices owned or controlled by you, subject to these Terms and applicable App Store / Google Play terms.
2. On-Device AI & Output Disclaimer
- Local Execution: PrivyAi allows you to download and execute open-weight AI models (e.g., Qwen, Gemma, Llama) locally on your device hardware. All AI generation and text processing occur 100% on-device.
- No Accuracy Guarantees: AI-generated outputs are produced non-deterministically by probabilistic models. Outputs may contain errors, inaccuracies, or unexpected results (“hallucinations”). You are solely responsible for evaluating and verifying any information or code generated by the App before relying on it.
- No Responsibility for Generated Content: TechNest Service Ltd. does not monitor, review, or control the content or prompts processed through local models and disclaims all liability arising from AI-generated outputs.
3. Subscriptions & In-App Purchases
PrivyAi offers optional paid features through “PrivyAi Pro,” accessible via auto-renewable subscriptions (Monthly, Yearly) or a one-time purchase (Lifetime Pass).
A. Subscription Billing & Auto-Renewal
- Payment: Payment will be charged to your Apple ID or Google Play Account at confirmation of purchase.
- Auto-Renewal: Subscriptions automatically renew unless auto-renew is turned off or canceled at least 24 hours before the end of the current billing period.
- Renewal Charge: Your account will be charged for renewal within 24 hours prior to the end of the current period at the standard subscription rate.
B. Free Trials & Promotional Offers
- Any unused portion of a free trial period will be forfeited when you purchase a subscription, where applicable.
- If a 3-month promotional access code or web trial is redeemed, access will automatically revert to standard subscription conditions at the end of the promotional period unless canceled.
C. Managing & Canceling Subscriptions
- You can manage or cancel your subscription at any time by going to your Device Account Settings:
- iOS: Open Settings > tap your Apple ID > Subscriptions > select PrivyAi.
- Android: Open Google Play Store > tap your Profile Icon > Payments & Subscriptions > Subscriptions.
- Deleting the App from your device does not automatically cancel your active subscription.
4. Open-Source & Third-Party Model Licenses
PrivyAi provides an interface to download open-weight language models. Each model file (such as Llama, Qwen, Mistral, or Gemma) is subject to its respective creator’s license agreement (e.g., Meta Llama License, Apache 2.0, or Gemma Terms of Use). By downloading a model through PrivyAi, you agree to comply with the license terms set forth by the respective model provider.
5. Intellectual Property
The PrivyAi software, interface design, logo, proxy server architecture, and underlying application code are the exclusive intellectual property of TechNest Service Ltd. You may not reverse engineer, decompile, or attempt to extract the source code of the App itself, except to the extent permitted by applicable law.
6. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall TechNest Service Ltd. be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of data, loss of device functionality, or hardware performance issues arising out of or related to your use of PrivyAi.
7. Disclaimer of Warranties
The App is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.
